1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ultra Prompt LLC ("Company," "we," "us," or "our"), the operator of Ultra Prompt, accessible at ultraprompt.co and related domains.

By accessing or using any part of Ultra Prompt — whether or not you create an account — you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies we may post. Your continued use of the service constitutes ongoing acceptance of these Terms as they may be updated from time to time.

2. Eligibility

You must be at least 16 years of age to use Ultra Prompt. By using the service, you represent and warrant that you meet this age requirement.

If you are using Ultra Prompt on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

Ultra Prompt is not available where prohibited by law. It is your responsibility to ensure that your use of the service complies with all laws and regulations applicable in your jurisdiction.

Minor Use — Misrepresentation of Age

If you are under the age of 16 and access or use Ultra Prompt, you have done so by misrepresenting your age in violation of these Terms. Such misrepresentation constitutes a material breach of this agreement. By using the service despite being under 16, you — and where applicable, your parent or legal guardian — expressly waive and forfeit any and all claims, demands, causes of action, and rights to pursue legal action against Ultra Prompt LLC, its officers, directors, employees, and affiliates arising out of or related to your use of the service. Ultra Prompt LLC bears no liability for any harm, damages, or losses alleged to result from the use of the service by a minor who gained access by misrepresenting their age. Parents and legal guardians are responsible for monitoring and controlling minors' access to the internet and online services, including Ultra Prompt.

By using Ultra Prompt, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. government embargo or sanctions, and that you are not listed on any U.S. government list of prohibited or restricted parties, including those maintained by the Office of Foreign Assets Control (OFAC). Use of Ultra Prompt in violation of applicable sanctions laws is strictly prohibited.

3. Account Registration

To access certain features of Ultra Prompt, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials with others, create accounts for third parties without authorization, or use another person's account without permission. Each individual may maintain only one account. Creating multiple accounts to circumvent free tier limits, paywalls, or account restrictions is a violation of these Terms and may result in immediate termination of all associated accounts. We reserve the right to disable or terminate accounts that violate these Terms. Organizations requiring multi-seat or team access should contact us at support@ultraprompt.co to inquire about enterprise arrangements.

4. Services Description

Ultra Prompt is a prompt engineering platform that provides users with access to a library of AI prompt templates, a prompt generation and refinement interface, and tools for building and chaining prompts through a visual interface ("Power Creator").

Core features of Ultra Prompt — including browsing template categories, selecting templates, and generating formatted prompt text — do not require an API key and function entirely within your browser. The following optional AI-powered features require you to provide your own API key from a supported provider:

• Send to AI — submits your generated prompt directly to a third-party AI model
• AI Preview — generates a live preview of your prompt using a connected AI model
• AI Refine — uses AI to refine and improve your generated prompt
• Rate My Prompt — uses AI to evaluate and score your prompt quality

The platform operates on a Bring Your Own Key (BYOK) model for all AI-powered features. API keys you provide are used to make requests directly from your browser to third-party AI providers (such as Anthropic, OpenAI, xAI, Google, and others). Ultra Prompt does not provide AI model access — it provides the tooling to interact with models through your own accounts.

AI Features — No Guaranteed Service

AI-powered features within Ultra Prompt — including but not limited to Send to AI, AI Preview, AI Refine, and Rate My Prompt — are provided as convenience tools for users who supply their own third-party API integrations. Ultra Prompt LLC makes no promise, guarantee, or warranty that these features will be available at any given time, produce accurate or satisfactory results, or meet any particular standard of performance. The availability and quality of these features may be affected by factors outside of our control, including but not limited to third-party API availability, network conditions, model behavior, and user-provided inputs. Ultra Prompt LLC does not represent or warrant the performance of any connected AI provider, nor does it accept responsibility for outcomes attributable to factors beyond Ultra Prompt LLC's direct control, including third-party service behavior, network conditions, or user-provided inputs. Use of these features is entirely at your own discretion and risk.

Prompt Output Quality

The quality, accuracy, and usefulness of prompts generated through Ultra Prompt are directly influenced by the information, context, and inputs provided by the user. Ultra Prompt LLC makes no guarantee that any generated prompt will produce a specific result when used with a third-party AI model. By using the platform and generating prompts, you acknowledge that output quality is subject to your own inputs and the behavior of third-party AI systems beyond our control. You expressly waive any right to pursue a claim against Ultra Prompt LLC based on dissatisfaction with the results of any generated prompt or AI model response.

API Token Usage — No Liability

Ultra Prompt LLC is not responsible for any API token consumption, usage charges, rate limit violations, or billing incurred through your use of third-party AI provider accounts in connection with the platform. You are solely responsible for monitoring your API usage and any associated costs. We strongly recommend reviewing your AI provider's billing and usage dashboard regularly. Any disputes regarding API charges must be directed to the respective AI provider — not to Ultra Prompt LLC.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their experience. Paid subscribers will receive at least 30 days advance notice of any material discontinuation of core service functionality, except where prohibited or made impracticable by circumstances beyond our control.

Beta and Experimental Features: Features marked as beta, experimental, or in early access are provided for testing purposes and may be unstable, incomplete, subject to change, or removed at any time without notice. Your use of experimental features is at your own risk, and Ultra Prompt LLC makes no warranty regarding their reliability, continuity, or fitness for any purpose.

5. Acceptable Use

You agree to use Ultra Prompt only for lawful purposes and in a manner consistent with these Terms. You agree that you will NOT use the service to:

• Generate, distribute, or facilitate content that is illegal, harmful, abusive, harassing, defamatory, or obscene
• Create prompts intended to produce content that violates the terms of service of any AI provider whose API you connect to the platform
• Violate any applicable local, state, national, or international law or regulation
• Attempt to reverse engineer, decompile, copy, or create derivative works of the Ultra Prompt platform or its underlying code
• Attempt to gain unauthorized access to any part of the service, its servers, or any systems connected to it
• Interfere with or disrupt the integrity or performance of the service
• Use automated means, bots, or scripts to access or use the service in ways that violate these Terms
• Circumvent, bypass, or abuse free tier limits, paywalls, or account restrictions
• Resell, sublicense, or otherwise commercialize access to Ultra Prompt without our express written consent (except as permitted under an enterprise agreement with Ultra Prompt LLC)
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate violations and take appropriate action, including suspending or terminating your account and reporting to law enforcement where applicable.

6. API Keys & Third-Party Services

When you connect your own API keys to Ultra Prompt, you acknowledge and agree that:

• You are solely responsible for your API keys, including their security and any costs or charges incurred through their use
• We are not liable for any unauthorized use of your API keys or any charges billed to your accounts at third-party AI providers
• You must comply with the terms of service of any third-party AI provider whose API you use in connection with Ultra Prompt
• We do not guarantee the availability, performance, or outputs of any third-party AI models or services
• Any content generated through third-party AI APIs is subject to those providers' own terms of service and acceptable use policies

Ultra Prompt uses a Cloudflare Worker proxy solely to facilitate CORS-compliant requests to the Anthropic API. This proxy is designed as a transparent passthrough — it is not designed to store, log, or inspect your API keys or prompt content. We periodically review our proxy configuration to confirm that no sensitive parameters are being logged. Cloudflare may collect standard network traffic metadata in accordance with their own privacy policy, which you can review at cloudflare.com/privacypolicy.

7. Intellectual Property

Our Property

Ultra Prompt, including its design, code, prompt templates, interface, branding, and all associated intellectual property, is owned by Ultra Prompt LLC and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you ownership of or a license to our intellectual property beyond what is necessary to use the service as intended. The selection, arrangement, categorization, and curation of prompt templates within the Ultra Prompt library constitute original creative expression protected by copyright, regardless of whether individual elements are themselves protectable.

Your Content

You retain full ownership of any custom prompt templates or content you create within Ultra Prompt. By using the service, you grant us a limited, non-exclusive license to store and display that content solely for the purpose of providing the service to you. We do not claim ownership of your prompts or generated outputs.

Your Outputs

Prompts you generate using Ultra Prompt's templates are yours to use for any personal or commercial purpose. We make no claim to the outputs produced.

Feedback & Suggestions

If you submit feedback, bug reports, feature requests, or other suggestions to Ultra Prompt LLC — whether through the contact form, email, or any other channel — such submissions are non-confidential and may be used by Ultra Prompt LLC for any business purpose, including improving the platform, without compensation, attribution, or obligation to you.

Copyright Infringement — DMCA

Ultra Prompt LLC respects intellectual property rights. If you believe that any content on our platform infringes your copyright, you may submit a written notice to support@ultraprompt.co containing the following:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located on our platform
• Your contact information (name, address, email, phone number)
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your electronic or physical signature

We will review valid DMCA notices and respond accordingly. Repeat infringers may have their accounts terminated.

Ultra Prompt LLC is registered with the U.S. Copyright Office DMCA Designated Agent Directory under registration number DMCA-1070795. This registration is maintained in accordance with 17 U.S.C. § 512(c)(2).

Export Functionality

Ultra Prompt provides the ability to export prompt templates and generated outputs to your local device. By using the export functionality, you acknowledge and agree that:

• Ultra Prompt LLC is not responsible for any hardware damage, data loss, system failure, or adverse effects on your device alleged to result from downloading or opening exported files
• You are solely responsible for how exported content is stored, shared, or used once it leaves the platform
• Exported prompt content remains subject to the intellectual property terms above — you own your outputs, but you may not resell, redistribute, or commercialize Ultra Prompt's proprietary template structures, frameworks, or library as your own product
• We make no guarantee that exported files will be compatible with all software, operating systems, or future file format standards

8. Free Tier & Subscriptions

Ultra Prompt offers a free tier that allows a limited number of prompt generations without a paid subscription. Free tier limits are subject to change at our discretion with at least 30 days notice to existing users via email or in-app notification.

Paid subscription plans ("Pro Monthly," "Pro Annual," and other tiers as offered) provide additional features, unlimited generations, and early access to new capabilities. Subscriptions are billed on a recurring basis as specified at the time of purchase. By subscribing to a recurring plan, you acknowledge that your subscription will automatically renew at the end of each billing period at the then-current rate until you cancel. You may cancel at any time through your account settings.

We reserve the right to modify the features included in any plan, add new plans, or discontinue plans with at least 30 days advance notice to affected subscribers via email or in-app notification.

Lifetime Access Plan

The Lifetime plan is a one-time payment that grants you access to Ultra Prompt Pro features for as long as the service remains operational. "Lifetime" refers to the operational lifetime of the product, not the user's lifetime. "Ceases operations" means any of the following: permanent shutdown of the Ultra Prompt platform, sale or transfer of the Ultra Prompt product to a third party that discontinues service, or corporate dissolution of Ultra Prompt LLC. In the event that Ultra Prompt ceases operations permanently, Lifetime plan holders will receive at least 90 days advance notice where reasonably possible, and no further charges will be incurred. In circumstances where 90 days advance notice is not reasonably possible, Lifetime plan holders may contact us at support@ultraprompt.co to request a pro-rated refund based on time elapsed since purchase, at our discretion. The Lifetime plan is non-transferable and tied to a single account.

Desktop Application

In the event of service discontinuation, Lifetime plan holders retain the right to use the last released version of the Ultra Prompt desktop application for personal use. Ultra Prompt LLC makes no guarantee that the desktop application will remain functional across future operating system updates, and no technical support will be provided after the discontinuation date.

Desktop Application — No Hardware Liability

Ultra Prompt LLC is not responsible for any hardware damage, system failure, data loss, performance degradation, or any other adverse effect on your device alleged to result from downloading, installing, or running the Ultra Prompt desktop application. You download and install the application at your own risk. We strongly recommend maintaining current backups of your data prior to installing any software.

9. Payments & Refunds

All payments are processed through Stripe, a third-party payment processor. We do not store your payment card information. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Subscription fees are non-refundable except where required by applicable law, or at our sole discretion in cases of billing errors or extenuating circumstances. If you believe a charge was made in error, contact us within 30 days at support@ultraprompt.co. Residents of the European Union may have additional rights under applicable consumer protection law, including a statutory right of withdrawal for digital services.

Taxes: All prices displayed are exclusive of applicable taxes. Depending on your location, sales tax, VAT, GST, or other applicable taxes may be added to your subscription price at checkout. You are responsible for any taxes applicable to your purchase under the laws of your jurisdiction.

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will not renew and no further charges will be made to your payment method. You will retain full access to all Pro features for the remainder of your current paid billing period. Access to Pro features will revert to the free tier at the end of that period. No partial refunds are issued for unused time within a billing period.

Payment Failure

If a recurring payment fails, we will attempt to collect payment using any retry logic provided by our payment processor. If payment cannot be collected after reasonable attempts, we reserve the right to downgrade your account to the free tier or suspend access to Pro features until payment is resolved. You will be notified by email of any payment failure. It is your responsibility to maintain a valid payment method on file.

Price Changes

We reserve the right to change subscription pricing at any time. For existing subscribers, we will provide at least 30 days written notice by email before any price increase takes effect. Your continued use of the service after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

10. Disclaimers

Ultra Prompt is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The service will be uninterrupted, error-free, or available at all times
• The quality or accuracy of any prompts, outputs, or information obtained through the service will meet your expectations
• Any errors in the service will be corrected
• AI-generated outputs produced through third-party APIs will be accurate, appropriate, or suitable for any particular purpose

You use the service at your own risk. Any content generated through Ultra Prompt — whether by our tools or third-party AI models — should be reviewed before use. We are not responsible for decisions made based on AI-generated outputs.

Internet & Browser Dependencies

Ultra Prompt is a web-based service that requires a functioning internet connection and compatible web browser to operate. Ultra Prompt LLC is not responsible for any interruption, degradation, or inability to access the service resulting from:

• Internet service provider (ISP) outages, slowdowns, or service failures
• Browser crashes, incompatibilities, or failures of any kind
• Network congestion, packet loss, or connectivity issues beyond our infrastructure
• Device-level failures, operating system issues, or local hardware problems
• Power outages or other environmental factors affecting your ability to connect

You expressly waive any right to pursue a claim against Ultra Prompt LLC for service unavailability or lost work resulting from internet or browser failures outside of our control.

No Browser or Internet Liability

Ultra Prompt LLC is not responsible for any damage, degradation, malfunction, or adverse effect on your web browser or internet connection alleged to result from accessing or using the Ultra Prompt platform. Normal use of the Ultra Prompt website does not modify your browser settings, alter your network configuration, or interact with your internet service provider in any way beyond standard web traffic. Like most web applications, Ultra Prompt uses your browser's local storage to save preferences and session data on your device.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Ultra Prompt LLC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of, or inability to use, Ultra Prompt.

In no event shall our total liability to you for all claims related to the service exceed the greatest of: (a) the total amount you paid us in the 12 months preceding the claim, (b) $50 USD, or (c) in the case of a Lifetime plan, the total one-time amount paid for that plan.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ultra Prompt LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of Ultra Prompt
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you create, submit, or transmit through the service
• Your use of third-party API keys and any activity resulting therefrom

Ultra Prompt LLC reserves the right, at your expense, to assume exclusive control of the defense and settlement of any claim subject to indemnification by you. You agree to cooperate fully with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it. We will not enter into any settlement that imposes obligations, restrictions, or liability on you without your prior written consent, which shall not be unreasonably withheld.

13. Termination

We may suspend or terminate your access to Ultra Prompt at any time, with or without notice, if we believe you have violated these Terms or if continued access would create legal or reputational risk to us or others. Accounts terminated for violations of these Terms are not entitled to any refund of subscription fees paid. For terminations not related to Terms violations, paid subscribers may contact us at support@ultraprompt.co to request a pro-rated refund at our sole discretion.

Suspension Pending Review: In cases where we believe a Terms violation may have occurred but have not yet made a final determination, we may suspend your account pending review. We will notify you by email and aim to communicate a final decision within 5 business days. Suspension is not a permanent termination, and access will be restored if no violation is found.

Complimentary and Trial Access: Access granted on a complimentary, gifted, promotional, or beta-testing basis is provided at our sole discretion and may be modified or revoked at any time without notice. Revocation of complimentary access does not constitute termination under this section and does not entitle the recipient to any refund or compensation.

You may delete your account at any time by contacting us at support@ultraprompt.co. Upon account deletion, your stored data will be removed in accordance with our Privacy Policy.

Termination does not relieve you of any obligations incurred prior to the termination date. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall continue to apply.

14. Force Majeure

Ultra Prompt LLC shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions or restrictions, internet or telecommunications infrastructure failures, cyberattacks, power failures, or any other event outside of Ultra Prompt LLC's reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, our obligations under these Terms will be suspended for the duration of the event. We will make reasonable efforts to notify affected users and resume normal service as quickly as practicable. Paid subscribers affected by an extended Force Majeure Event lasting more than 30 consecutive days may contact us at support@ultraprompt.co to discuss account credits or accommodations at our discretion.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify registered users by email.

Your continued use of Ultra Prompt after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the service.

16. Dispute Resolution & Binding Arbitration

You and Ultra Prompt LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Ultra Prompt — including disputes about the validity, applicability, or scope of this arbitration agreement — shall be resolved exclusively through binding individual arbitration rather than in court, except as set forth below.

Arbitration Process

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. The arbitration will take place in Monroe County, Illinois, or remotely if mutually agreed upon. Each party shall bear their own costs and fees unless the arbitrator determines otherwise under applicable AAA rules.

Small Claims Exception

Either party may bring an individual claim in small claims court if the claim qualifies under that court's jurisdictional limits. This exception does not waive any other provision of this arbitration agreement.

Class Action Waiver

You and Ultra Prompt LLC each expressly waive the right to participate in a class action lawsuit, class-wide arbitration, consolidated arbitration, or any other representative proceeding. All disputes must be brought solely in your individual capacity. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Time Limit to File Claims

Any claim or cause of action arising out of or related to your use of Ultra Prompt or these Terms must be filed within one (1) year after the claim or cause of action arose, regardless of any statute or law to the contrary. Claims not filed within this period are permanently barred. This limitation applies whether the claim is brought in arbitration, small claims court, or any other forum.

30-Day Opt-Out Right

If you do not wish to be bound by this arbitration agreement, you may opt out by sending an email to support@ultraprompt.co within 30 days of first creating your Ultra Prompt account, or within 30 days of the effective date of these Terms if your account was created prior to that date. Your opt-out notice must include your full name and the email address associated with your account, along with a clear statement that you are opting out of the arbitration agreement. Opting out does not affect any other provision of these Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes not subject to arbitration under Section 16 shall be subject to the exclusive jurisdiction of the state and federal courts located in Monroe County, Illinois.

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
